Terms & Conditions

To use ERP Group's platform, you must meet the following eligibility criteria. You must be at least 18 years of age. You must be a legally registered business entity or an individual conducting lawful business activities in India or internationally. You must have the legal capacity and authority to enter into a binding contract. You must not be barred from receiving services under any applicable Indian or international law. If you are registering on behalf of a company or firm, you must have the necessary authorisation to bind that entity to these Terms & Conditions.

To access ERP Group's platform, you must create an account by providing accurate, complete, and current information including your name, business name, email address, mobile number, and GSTIN where applicable. You agree to keep your account information updated at all times. You are responsible for maintaining the confidentiality of your account credentials including your password. You must not share your login credentials with unauthorised persons. ERP Group reserves the right to suspend or terminate accounts that contain false, misleading, or fraudulent information without prior notice.

You are solely responsible for all activities that occur under your account. If you suspect any unauthorised access, breach of security, or misuse of your account, you must notify ERP Group immediately at [email protected]. ERP Group will not be liable for any loss or damage arising from your failure to protect your account credentials or report unauthorised access in a timely manner.

ERP Group allows multiple users to access a single business account based on your subscription plan. Each team member must be assigned appropriate role-based access permissions by the account administrator. The account administrator is solely responsible for managing user access, setting permissions, and ensuring that all users comply with these Terms & Conditions. ERP Group shall not be held responsible for any actions taken by authorised or unauthorised users under your account.

ERP Group offers multiple subscription plans with different features, user limits, and transaction capacities. Details of current plans, pricing, and features are available on our website at www.erpgroup.in. All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes including GST unless otherwise stated. ERP Group reserves the right to modify, discontinue, or introduce new subscription plans at any time with reasonable prior notice to existing subscribers.

ERP Group may offer a free trial period for new users to evaluate the platform before subscribing to a paid plan. The free trial is available only once per business entity and cannot be claimed multiple times using different email addresses or business names. ERP Group reserves the right to modify the duration, features, or availability of the free trial at any time without prior notice. At the end of the free trial period, your account will be automatically downgraded to a limited access mode unless you choose a paid subscription plan.

All subscription fees are payable in advance on a monthly or annual basis depending on the plan you select. Payments must be made through the approved payment methods available on our platform including credit cards, debit cards, net banking, UPI, and other supported payment gateways. ERP Group uses secure third-party payment gateways to process all transactions. We do not store your complete payment card details on our servers. All subscription fees once paid are subject to our Refund & Cancellation Policy described in Section 4 of these Terms.

Subscription plans are set to auto-renew at the end of each billing cycle unless you cancel your subscription before the renewal date. By subscribing to ERP Group's platform, you authorise us to automatically charge your chosen payment method for the applicable subscription fee at the start of each new billing cycle. You will receive an email reminder at least 7 days before your subscription renewal date. To disable auto-renewal, you must update your subscription settings in your account dashboard or contact our support team at [email protected] at least 3 days before the renewal date.

ERP Group reserves the right to change subscription prices at any time. For existing subscribers, any price changes will be communicated via email at least 30 days before they take effect. Continued use of the platform after a price change constitutes your acceptance of the new pricing. If you do not agree with the new pricing, you may cancel your subscription before the new pricing takes effect without any penalty.

All subscription fees are subject to applicable Indian taxes including Goods and Services Tax (GST) at the prevailing rate. ERP Group will issue a GST-compliant tax invoice for every subscription payment. The applicable GST will be charged in addition to the base subscription fee unless you are eligible for an exemption under Indian tax law.

You may cancel your ERP Group subscription at any time through your account dashboard or by contacting our support team at [email protected]. Upon cancellation, your access to the platform will continue until the end of your current paid billing cycle. After the billing cycle ends, your account will be downgraded to limited access mode and no further charges will be applied. Cancellation does not entitle you to a refund for any unused portion of your current billing period unless otherwise stated in our Refund Policy.

ERP Group's subscription fees are generally non-refundable once a billing cycle has commenced. However, we evaluate refund requests on a case-by-case basis under the following circumstances. If you experience a technical issue directly caused by ERP Group's platform that prevents you from using the service and our technical team is unable to resolve the issue within a reasonable timeframe, you may be eligible for a pro-rata refund for the affected period. If you are charged incorrectly due to a billing error on our part, we will promptly issue a full refund for the incorrect charge. Refund requests must be submitted within 7 days of the billing date by emailing [email protected] with your account details and reason for the refund request.

ERP Group reserves the right to suspend or cancel your account and subscription at any time in the following circumstances. If you violate any provision of these Terms & Conditions. If you engage in fraudulent, abusive, or illegal activities on our platform. If you fail to make timely payment of subscription fees after reasonable notice. If your use of the platform causes harm to other users or to ERP Group's infrastructure. In cases of cancellation by ERP Group due to a violation of these terms, no refund will be issued for the remaining subscription period.

ERP Group's platform is provided exclusively for lawful business purposes. You may use our platform to manage your business accounting, GST compliance, payroll, inventory, sales, and customer relationships in the normal course of your legitimate business operations. You may allow your authorised employees, accountants, and CA firms to access your account in accordance with the role-based permissions you assign to them.

You agree not to use ERP Group's platform for any of the following prohibited activities. You must not use the platform for any illegal, fraudulent, or unauthorised purpose including tax evasion, money laundering, or financial fraud. You must not upload, store, or process data that infringes any third party's intellectual property rights, privacy rights, or any applicable law. You must not attempt to gain unauthorised access to any part of the platform, other user accounts, or ERP Group's servers or networks. You must not use the platform to transmit any malware, viruses, or harmful code. You must not reverse engineer, decompile, disassemble, or attempt to extract the source code of our platform. You must not resell, sublicense, or commercially exploit ERP Group's platform without our prior written consent. You must not use the platform in any way that overloads, damages, or impairs ERP Group's servers, infrastructure, or service availability for other users. You must not use automated bots, scrapers, or data mining tools to access or extract data from our platform without prior written authorisation.

Any violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account without prior notice, legal action under applicable Indian laws including the Information Technology Act 2000 and Indian Penal Code, forfeiture of any refund entitlement, and liability for damages caused to ERP Group or other affected parties.

All intellectual property rights in the ERP Group platform — including but not limited to software code, algorithms, user interface design, graphics, logos, trademarks, brand names, documentation, and proprietary features — are exclusively owned by ERP Group or its licensors. Nothing in these Terms & Conditions transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your own business purposes during your active subscription period.

You retain full ownership of all business data, financial records, invoices, and content that you create, upload, or process through the ERP Group platform. ERP Group does not claim any ownership rights over your business data. You grant ERP Group a limited licence to store, process, and use your data solely for the purpose of providing the services described in these Terms & Conditions. This licence terminates upon closure of your account, subject to our data retention obligations under applicable law.

If you provide ERP Group with feedback, suggestions, feature requests, or ideas for improving the platform, you grant us a perpetual, irrevocable, royalty-free licence to use, incorporate, and implement such feedback in our platform without any obligation to compensate you or credit you for the contribution.

ERP Group processes your personal and business data in accordance with our Privacy Policy available at www.erpgroup.in/privacy-policy. By using our platform, you consent to the collection, storage, and processing of your data as described in our Privacy Policy. Our Privacy Policy is incorporated into these Terms & Conditions by reference and forms an integral part of the agreement between you and ERP Group.

ERP Group is responsible for implementing and maintaining appropriate technical and organisational security measures to protect your data on our platform. However, you are equally responsible for maintaining the security of your account credentials, managing user access permissions appropriately, ensuring that devices used to access the platform are secure and free from malware, and promptly reporting any suspected security breach to ERP Group.

While ERP Group performs regular automated backups of all customer data, you are encouraged to periodically export and maintain your own copies of critical business and financial data. ERP Group shall not be held liable for data loss caused by events beyond our reasonable control including natural disasters, force majeure events, or third-party infrastructure failures, provided that we have implemented appropriate backup and recovery procedures.

ERP Group endeavours to provide a reliable, high-availability platform with a target uptime of 99.9% measured on a monthly basis. However, we do not guarantee uninterrupted, error-free access to the platform at all times. Scheduled maintenance, system upgrades, and unforeseen technical issues may occasionally cause temporary unavailability of the platform or specific features.

ERP Group performs scheduled maintenance to update, improve, and secure the platform. We will provide advance notice of scheduled maintenance via email and in-platform notifications wherever possible. Scheduled maintenance is typically conducted during off-peak hours to minimise disruption to your business operations.

ERP Group reserves the right to modify, update, enhance, or discontinue any feature or module of the platform at any time. We will provide reasonable advance notice of any significant changes that may materially affect your use of the platform. Continued use of the platform after any modification constitutes your acceptance of the updated features and functionality.

ERP Group's platform integrates with various third-party services and APIs including the GSTN portal, banking institutions, payment gateways, SMS providers, and email services. These integrations are provided for your convenience and are subject to the terms and conditions of the respective third-party providers. ERP Group does not control and is not responsible for the availability, accuracy, security, or performance of third-party services.

ERP Group's integration with the GSTN portal for e-invoicing, e-way bill generation, and GST return filing is dependent on the availability and performance of the GSTN portal operated by the Government of India. ERP Group shall not be liable for any delays, errors, or failures in GST filing or e-invoice generation caused by downtime, technical issues, or changes in the GSTN portal that are beyond our control.

ERP Group's bank feed and reconciliation features are provided through secure banking API integrations. Access to bank feed data is read-only and ERP Group does not have the ability to initiate transactions or modify your bank account in any way. Availability of bank feed features depends on the participating banks and their API infrastructure, which may change without prior notice.

ERP Group's platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the maximum extent permitted by applicable Indian law, ERP Group disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, ERP Group's total liability to you for any claims arising out of or related to these Terms & Conditions or your use of the platform shall not exceed the total subscription fees paid by you to ERP Group in the three months immediately preceding the event giving rise to the claim. ERP Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, loss of data, loss of business, or reputational harm — even if ERP Group has been advised of the possibility of such damages.

Nothing in these Terms & Conditions limits or excludes ERP Group's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable Indian law.

You agree to indemnify, defend, and hold harmless ERP Group, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or related to your use of the platform in violation of these Terms & Conditions, your violation of any applicable law or regulation, your infringement of any third-party rights including intellectual property or privacy rights, any data or content you upload or process through the platform that causes harm to ERP Group or third parties, and any unauthorised access to or use of the platform through your account credentials.

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India. The following laws are particularly applicable to your use of ERP Group's platform and services — the Information Technology Act 2000, the Indian Contract Act 1872, the Consumer Protection Act 2019, the GST Act 2017, and the Digital Personal Data Protection Act 2023.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms & Conditions or ERP Group's services, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. Either party may initiate this process by sending a written notice to the other party describing the dispute in reasonable detail. The parties will have 30 days from the date of such notice to resolve the dispute through mutual discussion.

If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act 1996 of India. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be India and the language of arbitration shall be English. The arbitrator's decision shall be final and binding on both parties.

Subject to the arbitration clause above, the courts located in India shall have exclusive jurisdiction over any matters that require judicial intervention in connection with these Terms & Conditions.

You may terminate your ERP Group account at any time by cancelling your subscription through your account dashboard or by contacting our support team at [email protected]. Upon termination, your access to the platform will continue until the end of your current billing cycle after which your account will be deactivated.

ERP Group reserves the right to suspend or permanently terminate your account with immediate effect and without prior notice if you breach any material provision of these Terms & Conditions, if you engage in illegal, fraudulent, or abusive conduct on the platform, if your account poses a security risk to other users or our infrastructure, or if required to do so by applicable law or a competent authority.

Upon termination of your account for any reason, your licence to use the platform will immediately cease. You will lose access to all platform features and data stored on the platform. ERP Group will retain your data for the periods required by applicable law as described in our Privacy Policy. You may request an export of your business data before account termination by contacting [email protected]. Provisions of these Terms & Conditions that by their nature should survive termination — including intellectual property rights, limitation of liability, indemnification, and governing law — shall continue to apply after termination.

ERP Group shall not be liable for any failure or delay in performance of our obligations under these Terms & Conditions to the extent such failure or delay is caused by circumstances beyond our reasonable control. Such circumstances include but are not limited to natural disasters, floods, earthquakes, pandemics, government actions or regulations, war or civil unrest, power outages, internet infrastructure failures, third-party service provider outages, or any other event that could not reasonably have been anticipated or prevented. In such circumstances, ERP Group will make reasonable efforts to resume normal service as quickly as possible and will communicate with affected users regarding the expected timeline for service restoration.

ERP Group reserves the right to update, modify, or replace these Terms & Conditions at any time to reflect changes in our services, business practices, or applicable legal requirements. When we make significant changes, we will notify you by email at the address associated with your account at least 30 days before the changes take effect, display a prominent notice on our website and platform dashboard, and update the "Last Updated" date at the top of this page. Your continued use of the platform after the effective date of the updated Terms & Conditions constitutes your acceptance of the revised terms. If you do not agree with the updated terms, you must stop using the platform and cancel your subscription before the changes take effect.
